The UK Corporate Governance Code (2014) (the 'Code') sets out standards of good practice in relation to board leadership and effectiveness, accountability, remuneration and relations with shareholders.
Throughout the period ended 30 July 2016 and to the date of the Annual Report, the Company has been in compliance with the Code. A full explanation of how the 'Main Principles' set out in the Code have been applied, as required by the Listing Rules, is also available to view in this section of the website.
The UK Corporate Governance Code (2014) recommends that the board of directors of a UK public company includes an appropriate combination of Executive and Non-Executive Directors, with independent Non-Executive Directors comprising at least half of the board (excluding the chairman).
The Board is committed to the highest standards of corporate governance. The Board comprises a Non-Executive Chairman, two Executive Directors and three independent Non-Executive Directors.. The Company regards John Jackson, Lesley Watkins and Caspar Woolley as independent Non-Executive Directors for the purposes of the UK Corporate Governance Code and in the best interests of shareholders.
No individual or group of individuals dominates the Board's decision-making process. None of the Directors has, and the Senior Manager does not have, any potential conflict of interest between their duties to the Company and their private interests and/or duties owed to third parties.
